Client Service Agreement
The agreement a firm accepts when it signs up. It works together with the Confidentiality and Data Processing Addendum. Version 1.3, October 13, 2026.
The parties
Version 1.3, October 13, 2026
This Client Service Agreement (the "Agreement") is between MarSon Ventures LLC, a New Jersey limited liability company ("Marson Ventures"), which provides the Marson Labs service, and the law firm named in the Order Form (the "Firm").
1. How this Agreement works
1.1 Documents. The Agreement is made up of this document, its Schedules, each Order Form, and the Confidentiality and Data Processing Addendum (the "DPA"). If they conflict, this order applies: (a) the Order Form, for plan, offer, fee and date terms only; (b) the DPA, for anything about Personal Data or confidentiality of Firm Data; (c) this document and its Schedules.
1.2 Electronic acceptance. The Firm may accept the Agreement by signing the Order Form, or by ticking the agreement box and clicking to accept on the Marson Labs website (marsonlabs.com), sign-up page or onboarding page. An electronic acceptance binds the Firm the same as a handwritten signature.
1.3 Record of acceptance. When the Firm accepts, Marson Ventures records the version number and date of this Agreement, the name, title (if given), email and phone number of the person accepting, the date and time, the IP address, and how the Firm accepted (for example, website sign-up or onboarding link). Marson Ventures sends the Firm a copy of the accepted version on request.
1.4 Authority. The person accepting confirms that they are authorized to bind the Firm.
1.5 New versions. Marson Ventures may publish new versions of this Agreement. A new version applies to the Firm only after the Firm accepts it. Price changes follow Section 6.6 instead.
2. Definitions
- "AI Agent": the AI voice and messaging assistant that Marson Ventures sets up for the Firm.
- "Approved Script": the AI Agent's instructions, opening lines, intake questions and statements about the Firm, as approved by an Approving Attorney.
- "Approving Attorney": an attorney of the Firm named in the Order Form (including the onboarding intake form), or another attorney of the Firm that the Firm names in writing.
- "Backup Number": the phone number in the Order Form that calls go to when the AI Agent cannot take them.
- "Compliance Rules": the fixed rules in Schedule 2.
- "Consent Box": the unticked checkbox with the exact wording in Schedule 2, shown on each web form that sends leads to the Service.
- "Firm Data": all data that the Firm, its staff or its Leads give to the Service, and all data the Service creates for the Firm, including leads, calls, recordings, transcripts, summaries, texts, emails, form entries, bookings, consent receipts, opt-outs and reports. Firm Data does not include Usage Statistics.
- "Go-Live Date": the day Marson Ventures turns on live calls and web-lead replies for the Firm, after an Approving Attorney approves the script.
- "Intake Depth": how much the AI Agent asks a caller, either "Booking" (the default) or "Full Intake", as set in Section 3.5.
- "Lead": a person who contacts the Firm, or whose inquiry the Firm sends to the Service.
- "Old Lead": a person whose last inquiry to the Firm was more than 90 days before the Firm sends that person to the Service.
- "Offices": the office phone lines the Firm may forward to the Service and, on Command Center, the Google Business Profiles the Service manages.

3. The Service
3.1 What Marson Ventures provides. Marson Ventures provides the features of the Firm's Plan, as summarized in Schedule 1 and set in the Order Form. In short:
- (a) the AI Agent answers calls the Firm's team misses (busy lines, unanswered calls, after hours and weekends) that the Firm forwards from its office number;
- (b) the Service replies to web leads from the Firm's website forms;
- (c) the AI Agent calls back web leads, but only Leads who ticked the Consent Box;
- (d) the Service books consultations on the Firm's calendar, sends reminders and follows up with Leads who do not book;
- (e) the Service sends review requests to clients the Firm marks as finished;
- (f) the Firm gets a lead inbox and Portal with call recordings, transcripts and summaries, and a monthly report.
3.2 Disclosures on every call. At the start of every call, the AI Agent says that the call is recorded. At the start of every AI callback, it also says that it is an AI assistant. On calls it answers, it also says that it is an AI assistant if the Firm chooses this (the "AI Notice"). The AI Notice is off unless the Firm chooses it in the Order Form or its onboarding form, and the Firm may turn it on or off at any time by telling Marson Ventures in writing. The Firm's attorneys decide whether the rules that apply to the Firm require the AI Notice. The AI Agent never says or suggests that it is a person, and if a caller asks, it says that it is the Firm's AI assistant. For law firms, it also says that it cannot give legal advice. Except for the Firm's AI Notice choice, these disclosures are part of the Compliance Rules and cannot be turned off.
3.3 No legal advice. The AI Agent is designed and instructed never to give legal advice, say whether someone has a case, discuss what the Firm charges for legal work, say whether the Firm will take a case, or promise that the Firm will represent anyone. Marson Ventures is not a law firm and does not provide legal services. AI can make mistakes. The Firm's attorneys remain responsible for all legal advice and for every decision about conflicts and representation.
3.4 Attorney approval and supervision. The AI Agent takes no live calls until an Approving Attorney approves the script, through the approval link Marson Ventures emails to the Approving Attorney, in writing (email counts), or by the Firm's Portal account owner confirming in the Portal that an Approving Attorney has approved it. Any later change to the script needs the same approval before it is used. Approvals are recorded. The Firm's attorneys supervise the AI Agent's work for the Firm, as they would supervise a nonlawyer assistant under New Jersey RPC 5.3, including by reviewing calls, transcripts and summaries in the Portal. Marson Ventures follows the Firm's reasonable written instructions about the script.
3.5 Intake Depth.
- (a) Booking (default). The AI Agent asks only for the caller's name, contact details, the type of incident and the other party's name, so the Firm can run a conflict check. Then it offers to book a consultation. It does not collect detailed case facts.
- (b) Full Intake (attorney opt-in only). The AI Agent also asks about the date and place of the incident, injuries, medical treatment, police reports and insurance on the same call. Warning: collecting case facts before the Firm clears conflicts may affect the Firm's ability to act against that caller later (RPC 1.18), and means the Service holds callers' health information. Full Intake is turned on only if an attorney of the Firm chooses it after this warning, by giving their name and confirming on the Order Form or the onboarding intake form, or later in writing. The Firm is responsible for making sure that only its attorneys make this choice.
- (c) The Firm may switch back to Booking at any time by telling Marson Ventures in writing.
3.6 Compliance Rules. The Service runs the Compliance Rules in Schedule 2 for every Firm. No Plan, Firm or setting can turn them off. Among other things, follow-ups, chases, review requests and AI callbacks happen only from 9am to 7pm, Monday to Saturday, in the Lead's time zone, never on holidays, unless the Lead asked to be contacted at a specific time.
3.7 Texting starts after carrier approval. Texts start only after the phone carriers approve the Firm's texting registration, which usually takes 1 to 4 weeks after the Go-Live Date. Approval is up to the carriers, not Marson Ventures. The Firm will give Marson Ventures its exact legal name, tax ID and the other details the registration needs.
3.8 Backup routing. If the AI Agent or the Service cannot take a call, the Service is designed to send the call to the Backup Number, then to voicemail. This is a design target, not a service level or a guarantee. Phone carriers, internet outages, vendor outages and the Firm's own phone settings can affect calls. The Firm will keep the Backup Number answered by a person or a voicemail at all times.
3.9 Availability. Marson Ventures will use commercially reasonable efforts to keep the Service available, but does not promise any uptime level.
3.10 Command Center items not built yet. Clio and Filevine sync are not built yet. The Order Form sets the dates for them and what the Firm gets if they are late. Google Maps visibility works as described in the Order Form.
3.11 Changes to the Service. Marson Ventures may change its vendors, AI models, voices and software, as long as the Plan's main features stay in place. Marson Ventures does not promise to adopt any particular AI model or voice. If Marson Ventures removes a main feature of the Firm's Plan, it will give at least 30 days' written notice, and the Firm may cancel before the change.
3.12 Phone number. Marson Ventures provides a local phone number for the Firm and holds it in a phone account kept separate for the Firm while the Service runs. The Firm forwards its office line to that number. After the Service ends, calls to that number go to the Backup Number, and the number is released 7 days later, unless the Firm asks before then to move (port) it to its own phone company, in which case Marson Ventures gives the Firm the details needed to move it.
3.13 Not an emergency service. The Service is not an emergency service. If a caller says someone is hurt or in danger right now, the AI Agent tells them to hang up and call 911.
4. The Firm's responsibilities
4.1 Accurate information. The Firm will give Marson Ventures accurate and complete information, and will keep it current. Every statement about the Firm in the Approved Script (for example, its practice areas, whether consultations are free, which cases it takes, and its office hours) must be true and allowed under the Rules of Professional Conduct, including RPC 7.1.
4.2 Consent Box and privacy page. On every web form that sends leads to the Service, the Firm will show the Consent Box with the exact wording in Schedule 2, unticked by default. The Firm's privacy policy will include this sentence: "Mobile opt-in data will never be shared or sold to third parties or lead generators." The Firm will not change the wording without Marson Ventures' written OK.
4.3 Lead sources. The Firm warrants that it sends the Service only Leads who contacted the Firm themselves about their own inquiry. The Firm will not send the Service, or connect to it, any purchased, rented or shared leads, any Old Leads, or any list of people for outreach. Each web form or connection that sends leads to the Service must be the Firm's own and must collect inquiries directly from the people making them.
4.4 Conflicts and representation. The Firm reviews its leads and alerts, runs its own conflict checks, and makes every decision about conflicts and representation.
4.5 Phones, calendar and logins. The Firm keeps its call forwarding, its Backup Number and its calendar connection working. The Firm keeps its Portal logins secure, is responsible for what its users do in the Portal, and tells Marson Ventures promptly if it suspects someone has used a login without permission.
4.6 Opt-outs received by the Firm. If a Lead asks the Firm directly to stop calls or texts, the Firm will tell Marson Ventures promptly in writing, and Marson Ventures will record the opt-out within 1 business day.
4.7 The Firm's own duties. The Firm remains responsible for its own professional duties, including attorney advertising rules, client confidentiality, and the content of its own website and forms.
5. Acceptable use
5.1 The Firm will not use the Service, or let anyone else use it, to:
- (a) contact anyone who did not contact the Firm first, or send cold calls or cold texts;
- (b) load or send purchased, rented, shared or Old Leads, or any list of people;
- (c) make calls, texts or emails that break the Telephone Consumer Protection Act, the Telemarketing Sales Rule, state telemarketing laws, CAN-SPAM, or phone carrier rules;
- (d) solicit people in a way that breaks the Rules of Professional Conduct, including RPC 7.3;
- (e) send false or misleading content, harass anyone, or pretend to be someone else;
- (f) try to turn off or get around the Compliance Rules;
- (g) access another client's data, or test or probe the Service's security without Marson Ventures' written OK;
- (h) copy, resell or reverse engineer the Service, or send it malware; or
- (i) break any law.
5.2 If a use breaks this Section and puts Leads, other clients or Marson Ventures at risk, Marson Ventures may pause the affected part of the Service at once and will tell the Firm promptly.
6. Fees and billing
6.1 Fees. The Firm pays the monthly fee and the one-time setup fee in its Order Form. The fees are flat. They are never tied to cases signed, clients retained, fees earned or any other result.
6.2 When the Firm is charged.
- (a) 30-day proof run (Intake Desk only). The proof run is offered to at most 3 firms in total, and only to a Firm that agrees to the Proof Condition in Section 12.4. The Firm saves its bank account at sign-up. The proof run lasts 30 days from the Go-Live Date (day 1). During the proof run, use is capped at the Intake Desk Plan's included 600 AI minutes and 1,500 texts. When a cap is reached, that part of the Service stops until the proof run ends. Packs are not sold during the proof run. Marson Ventures emails a reminder on about day 27. On day 31, Marson Ventures charges the first month's fee and the setup fee, unless the Firm canceled before then. One proof run per business.
- (b) Founding 5 and Standard. Marson Ventures charges the setup fee and the first month's fee on the Go-Live Date.
- (c) After the first charge. Marson Ventures charges the monthly fee on the same day each month.
6.3 Payment method. The Firm pays by bank debit (ACH) through Marson Ventures' payment processor, unless Marson Ventures agrees in writing that the Firm may pay by card. If the Firm pays by credit card, a card fee of 3% is added to each charge and shown as its own line. Bank debit and debit cards carry no fee. The Firm authorizes Marson Ventures, through its payment processor, to debit the account on file for the fees in the Order Form and for each Pack the Firm chooses to buy.
6.4 Included usage and Packs. Each Plan includes the AI minutes and texts in Schedule 1. If the Firm goes over, the Service keeps running. Marson Ventures never bills for extra usage without the Firm's OK. The Firm gets an email when it reaches 80% of its included minutes or texts. The Firm may buy a Pack in the Portal or from the link in that email. A Pack is charged when the Firm clicks to buy it and adds to the current billing month. Unused minutes, texts and Packs do not carry over to the next month. AI minutes from spam calls and hang-ups do not count against a paying Firm's included minutes. If the Firm uses more than twice its included minutes or texts in each of 2 months in a row without buying Packs, Marson Ventures may ask the Firm in writing to buy Packs or move to a larger Plan. If the Firm does neither within 30 days, either party may end the Agreement at the end of the current Paid Month.
6.5 Taxes. Fees are plus applicable sales tax, if any. Each party pays its own income taxes.
6.6 Price changes. Marson Ventures may raise the monthly fee no more than once in any 12 months, with at least 60 days' written notice (email counts). The new fee starts on the first billing date after the notice period ends. The Firm may cancel before then. During a Founding 5 price lock, the monthly fee does not go up.
6.7 Failed payments and suspension. If a payment fails, the payment processor tries again automatically. If it still fails after those retries, Marson Ventures will tell the Firm in writing. If the amount is still unpaid 10 days after that notice, Marson Ventures may suspend the Service until it is paid. During a suspension, the AI Agent stops, calls go to the Backup Number or voicemail, texts and emails to Leads stop, and Firm Data is kept. If the amount is still unpaid 30 days after the suspension starts, Marson Ventures may end the Agreement under Section 7.4.
6.8 No refunds. Fees paid are not refundable, and there is no credit for part of a month, except the Founding 5 setup-fee refund, any remedy for late Command Center items in the Order Form, the refund in Section 7.4(a), and the refund in Section 6.2 of the DPA.
6.9 Billing questions. If the Firm disputes a charge, it will tell Marson Ventures in writing within 30 days of the charge, and both parties will work in good faith to resolve it.
7. Term, cancellation and what happens after
7.1 Term. The Agreement starts when the Firm accepts it. The Service runs month to month from the Go-Live Date until it is canceled.
7.2 The Firm may cancel any time. The Firm may cancel at any time in two clicks in the Portal, or by written notice to Marson Ventures. Billing stops at once, and the Firm is not charged again.
7.3 When the Service ends after the Firm cancels.
- (a) A Firm in the proof run: the Service ends at once and nothing is charged.
- (b) A paying Firm: the Service keeps running until the end of the current Paid Month.
- (c) A Firm that cancels before its Go-Live Date: the Agreement ends at once and nothing is charged.
7.4 Marson Ventures may end the Agreement:
- (a) for any reason, with at least 60 days' written notice, and with a refund of any fees paid for time after the end date;
- (b) if the Firm materially breaches the Agreement and does not fix the breach within 30 days after written notice;
- (c) at once, by written notice, if the Firm's use breaks Section 5 or the law and puts Leads, other clients or Marson Ventures at risk; or
- (d) for non-payment, under Section 6.7.
7.5 After the Service ends.
- (a) The AI Agent stops, texting stops, and calls to the number Marson Ventures provided for the Firm go to the Backup Number.
- (b) Marson Ventures sends the Firm a copy of its Firm Data (leads, the timeline of calls, texts, emails, forms and transcripts, consent receipts and opt-outs) as spreadsheet files. Call audio is available on request while it is still kept.
- (c) Marson Ventures deletes Firm Data as set out in Section 11.5 and the DPA.
- (d) The phone number is handled as in Section 3.12.
7.6 Terms that last. Sections 6 (for amounts owed), 7.5, 8, 9.3, 10, 11, 12, 13, 14 and 15 continue after the Agreement ends.
8. No guarantee of results
Marson Ventures does not guarantee any result, including any number of calls answered, leads, consultations booked, cases signed, clients retained, fees earned, revenue, reviews or search rankings. The fees are not tied to any result. Statements in videos, websites or sales material are not promises under this Agreement unless they are written in the Order Form.
9. Promises each party makes, and disclaimers
9.1 Marson Ventures promises that it will provide the Service in a professional manner consistent with this Agreement, and that the Service runs the Compliance Rules as written in Schedule 2.
9.2 The Firm promises that it has authority to accept this Agreement, and that it will meet Sections 4.1 to 4.3 and Section 5.
9.3 DISCLAIMER. EXCEPT FOR THE PROMISES IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS". AI OUTPUT, TRANSCRIPTS AND SUMMARIES MAY CONTAIN ERRORS, AND THE FIRM SHOULD CHECK THEM BEFORE RELYING ON THEM. TO THE EXTENT THE LAW ALLOWS, MARSON VENTURES DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10. Confidentiality and privilege
10.1 Confidential Information. "Confidential Information" means non-public information one party gives the other under this Agreement. The Firm's Confidential Information includes all Firm Data, all information about Leads, and the information about the Firm in the Approved Script. The usual exceptions (information that is public, already known, independently developed or lawfully received from someone else) do not apply to Firm Data or to information about Leads.
10.2 Duties. Each party will use the other's Confidential Information only to perform or receive the Service, protect it with at least reasonable care, and share it only with its own staff and Subprocessors who need it for the Service and are bound by confidentiality duties at least as strict as these.
10.3 Marson Ventures acts as the Firm's agent for intake. When the Service talks with Leads and handles their information, Marson Ventures acts as the Firm's agent, at the Firm's direction and under the supervision of the Firm's attorneys, to help the Firm communicate with prospective clients. The parties intend these communications to stay protected by the attorney-client privilege and by the Firm's duty of confidentiality to the fullest extent the law allows (including N.J.R.E. 504 and RPC 1.6, 1.18 and 5.3). Marson Ventures does not decide whether any communication is privileged. This agency is limited to intake communications. Marson Ventures cannot agree on the Firm's behalf to represent anyone or make any other agreement for the Firm.
10.4 Legal demands. If Marson Ventures receives a subpoena, court order or other legal demand for Firm Data, it will tell the Firm promptly (unless the law forbids it) so the Firm can assert privilege or object, and it will disclose only what it is legally required to disclose.
10.5 How long. These duties last during the Agreement and for 5 years after it ends, and for Firm Data and information about Leads, for as long as Marson Ventures holds them.
11. Data
11.1 The Firm owns its data. The Firm owns all Firm Data. Marson Ventures may use Firm Data only to provide, secure, support and fix the Service, and as the Firm instructs.
11.2 Usage Statistics. Marson Ventures may create Usage Statistics from Firm Data (for example, average response times across firms) and use them to run and improve the Service and in its marketing. Usage Statistics never identify the Firm, any Lead or any other person. Marson Ventures will not name the Firm or its location in anything public without the Firm's written consent. A Firm that agrees to the Proof Condition in Section 12.4 gives that consent for the uses in that section only.
11.3 No AI training on Firm Data. Marson Ventures will not use Firm Data to train AI models.
11.4 Data processing, security and Subprocessors. The DPA governs how Marson Ventures processes Personal Data, its security measures, and its Subprocessors. Marson Ventures gives the Firm notice before it adds or replaces a Subprocessor, as set out in the DPA.
11.5 Retention.
- (a) Call recordings are deleted 90 days after each call.
- (b) Transcripts and call summaries stay in the Firm's lead records until the Firm asks Marson Ventures in writing to delete them, or until 30 days after the Service ends, whichever comes first.
- (c) All other Firm Data is returned and deleted within 30 days after the Service ends, as set out in the DPA.
11.6 Security breaches. Marson Ventures will tell the Firm about a Security Incident (as defined in the DPA) as set out in the DPA.
12. Intellectual property
12.1 Marson Ventures owns the Service, its software, templates and script library, and all improvements to them. The Firm owns its name, logos, website content and the information about the Firm in the Approved Script, and owns all Firm Data.
12.2 The Firm lets Marson Ventures use the Firm's name and content during the Agreement only to provide the Service (for example, in the AI Agent's opening line and in texts and emails to Leads).
12.3 Marson Ventures may use any suggestions the Firm gives about the Service, without any duty to the Firm, as long as it does not disclose the Firm's Confidential Information.
12.4 Proof Condition (30-day proof run and Founding 5). A Firm on the 30-day proof run or Founding 5 agrees that, after 30 days from the Go-Live Date: (a) a partner of the Firm gives Marson Ventures a short video testimonial using the Firm's name; (b) Marson Ventures may quote the Firm's results from the Service (for example, calls answered and consultations booked) with the Firm's name; and (c) Marson Ventures may use call transcripts as proof, with each caller's name and case details removed. Callers always stay anonymous: Marson Ventures never uses call audio for this, and never identifies a Lead or any caller. The testimonial must reflect the Firm's honest experience, and the offer does not depend on what it says. When Marson Ventures shows the testimonial or results, it says that the Firm received a free proof run or a Founding 5 discount. A Firm that chooses at sign-up to stay anonymous is never named under this section, and pays the Standard offer price instead (no proof run and no Founding 5 discount).
12.4 No other rights are granted.
13. Indemnity
13.1 The Firm's indemnity. The Firm will defend Marson Ventures, its members, managers and staff against any third-party claim, including a claim by a regulator, and pay the resulting damages, fines, settlements and reasonable attorneys' fees, to the extent the claim arises from:
- (a) the Firm's web forms and websites, including where and how the Consent Box is shown;
- (b) the Firm's lead sources, including any purchased, rented, shared or Old Lead, any Lead who did not contact the Firm first, or any breach of Section 4.3;
- (c) the content of any script or statement about the Firm that an Approving Attorney approved;
- (d) the Firm's legal services and its decisions about conflicts and representation;
- (e) the Firm's breach of Section 5; or
- (f) the Firm's choice to turn the AI Notice on or off (Section 3.2).
13.2 Marson Ventures' indemnity. Marson Ventures will defend the Firm, its partners and staff against any third-party claim, including a claim by a regulator, and pay the resulting damages, fines, settlements and reasonable attorneys' fees, to the extent the claim arises from:
- (a) the Service failing to run a Compliance Rule as written in Schedule 2 (for example, an AI call to a Lead with no consent receipt on file, a follow-up outside contact hours, or a text after an opt-out the Service recorded); or
- (b) a claim that the Service, as Marson Ventures provides it, infringes someone's United States patent, copyright or trademark, or misuses their trade secret.
This does not cover a claim to the extent it is caused by the Firm's information, instructions, content, forms, lead sources or breach of this Agreement.
13.3 Process. The party asking for defense will tell the other party promptly in writing, let the defending party control the defense and settlement, and cooperate at the defending party's cost. The defending party will not settle a claim in a way that admits fault by, or puts a duty on, the other party without that party's written consent.
14. Limits of liability
14.1 Cap. Except as Section 14.3 says, each party's total liability arising from this Agreement is limited to the greater of (a) the fees the Firm paid and owed under this Agreement in the 12 months before the event that gave rise to the claim, and (b) 12 times the monthly fee in the Firm's Order Form.
14.2 Excluded losses. Except as Section 14.3 says, neither party is liable for lost cases, lost clients, lost legal fees, lost profits or revenue, loss of goodwill, or any indirect, incidental, special, consequential or punitive damages, even if it was told they were possible.
14.3 Exceptions.
- (a) Sections 14.1 and 14.2 do not limit the Firm's duty to pay fees, or a party's liability for its gross negligence, willful misconduct or fraud.
- (b) For each party's duties under Section 13 (Indemnity), and for a breach of Section 10 (Confidentiality and privilege) or the DPA, the cap is two times the amount in Section 14.1, instead of one time. Section 14.2 does not limit damages that a party must pay to a third party under Section 13.
14.4 These limits are part of the basis of the fees, and apply to the extent the law allows.
15. General terms
15.1 Governing law. New Jersey law governs this Agreement, without regard to its conflict-of-law rules.
15.2 Venue. Each party agrees to the exclusive jurisdiction of the state and federal courts for Monmouth County, New Jersey.
15.3 Notices. Notices to Marson Ventures go by email to team@marsonlabs.com. Notices to the Firm go by email to the email for notices in its Order Form or, if none, to the email of the person who accepted the Agreement. A party may change its address by notice. "Written" and "in writing" include email. A notice takes effect when the email is sent, unless the sender gets a delivery failure. Notices of breach, termination or a claim are also sent by mail or courier to the other party's postal address for notices, if it has given one.
15.4 Assignment. Neither party may assign this Agreement without the other's written consent, except to a successor in a merger or sale of all or most of its business, with written notice.
15.5 Vendors. Marson Ventures may use Subprocessors under the DPA and is responsible for their work on the Service.
15.6 Events outside a party's control. Neither party is liable for a delay or failure caused by events outside its reasonable control, such as phone carrier or internet outages, vendor outages, carrier delays in texting approval, natural disasters or government action. This does not excuse payment of fees.
15.7 Independent contractors. Marson Ventures is an independent contractor. Apart from the limited agency in Section 10.3, nothing in this Agreement makes the parties partners, joint venturers, employer and employee, or agents of each other.
15.8 No third-party beneficiaries. Leads and other third parties have no rights under this Agreement.
15.9 Entire agreement. This Agreement (with the Order Form, the DPA and the Schedules) is the whole agreement about the Service and replaces all earlier proposals and statements. The Firm's purchase orders or other terms do not apply.
15.10 Other terms. If a court finds any part of this Agreement unenforceable, the rest stays in effect. A failure to enforce a term is not a waiver. Headings are for convenience only.

Schedule 2: Compliance Rules
These rules are built into the Service and apply to every Firm. No Plan, Firm or setting can turn them off. Marson Ventures' indemnity in Section 13.2 covers the Service's failure to run them as written.
- Call openings. Every call the AI Agent answers opens: "Thanks for calling {Firm}. This call is recorded." If the Firm chose the AI Notice (Section 3.2), it opens instead: "Thanks for calling {Firm}. I'm {Firm}'s AI assistant, and this call is recorded." Every AI callback opens: "Hi, this is {Firm}'s AI assistant returning your request from our website. This call is recorded." If the Firm picks a name for its AI Agent, the name comes first (for example "I'm Ava, {Firm}'s AI assistant"). The AI Agent never says or suggests that it is a person, and if a caller asks, it says that it is the Firm's AI assistant. For law firms, both openings add: "I can't give legal advice, but I'll get your details to an attorney." On Plans with Spanish, incoming calls also say "Se habla espaƱol.", and if the call switches to Spanish, the AI Agent repeats the recording and no-legal-advice notices in Spanish, and the AI notice too on a callback or when the Firm chose the AI Notice.
- AI calls need written consent. The AI Agent calls a Lead only if the Lead ticked the Consent Box and a consent receipt is on file.
- Call attempts. No more than 3 call attempts to a Lead in any 24 hours.
- First reply. The first reply to someone who just reached out goes out right away, with no sales pitch in it.
- Contact hours. Every follow-up, chase, review request and AI callback happens only from 9am to 7pm, Monday to Saturday, in the Lead's time zone, never on Sundays or on the holidays listed in the Service, unless the Lead asked to be contacted at a specific time. The Lead's time zone comes from the Lead's booking if there is one, otherwise from the phone number's area code, otherwise the Firm's time zone.
- Booking reminders. Reminders about a booking the Lead made go out only from 8am to 9pm in the Lead's time zone.
- Texts. Texts go out only after carriers approve the Firm's texting registration, and only to numbers that can receive texts (never landlines). A person who only called or texted the Firm first gets reply texts only. Follow-up and reminder texts need the Consent Box. Every text starts with the Firm's name, and the first text to a person ends with "Reply STOP to opt out." The Service never sends cold texts.
- Opt-outs. "STOP" or any plain request to stop, in English or Spanish, ends calls and texts from that Firm to that person within minutes. One confirmation text is allowed.
- Check before sending. Every text, call and email the Service sends to a Lead passes an automatic check of the rules above that apply to it before it goes out: opt-outs for all; consent for calls and texts; contact hours for follow-ups, chases, review requests and AI callbacks; reminder hours for reminders. Booking confirmations sent by the Firm's own calendar are not part of this check.
- Consent receipts. For each web form entry, the Service saves a consent receipt with the time, the page address, the exact wording shown, the phone number, whether the box was ticked, and the IP address.
- Emails. Promotional emails carry the Firm's name, a postal address and an unsubscribe link.
- Reviews. Review requests are the same ask to every finished client, with no rating filter first and no reward. Review replies are checked before posting so they do not confirm that someone was a client or share any details.
Required Consent Box wording (unticked by default; the form still submits if it is not ticked):
I agree that {Firm} may contact me about my inquiry at the number I provided, including by AI-voice and automated calls and texts. Consent is not required to get services. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out or HELP for help. See our Terms and Privacy Policy.
